These Terms of Service ("Terms") govern access to and use of Open2Place, including the Open2Place website, applications, services, tools, communications, housing listings, housing requests, provider tools, referral tools, and related services (collectively, the "Platform"). By creating an account, accessing the Platform, posting a housing request, listing housing, contacting another user, or otherwise using Open2Place, you agree to these Terms. If you do not agree, do not use the Platform.
Open2Place is a technology platform designed to facilitate connections among individuals seeking housing, housing providers, referral professionals, case managers, organizations, and other users. Unless expressly stated otherwise, Open2Place does not own, lease, operate, manage, supervise, inspect, control, or guarantee properties listed by independent housing providers. Open2Place is not a landlord, tenant, property manager, real estate broker, healthcare provider, treatment provider, case manager, social worker, placement agency, guarantor, insurer, escrow provider, or party to agreements entered into between users. Open2Place provides technology and communication tools that enable users to discover and communicate with one another.
Any lease, residency agreement, occupancy agreement, service agreement, deposit, application fee, rent payment, transportation arrangement, refund, screening arrangement, or other transaction between users is solely between those users unless Open2Place expressly states otherwise. Users are responsible for evaluating one another and conducting appropriate due diligence before entering into any transaction.
You must be legally capable of entering into a binding agreement to create an Open2Place account. You agree to provide accurate and current information and keep your account information updated. You are responsible for maintaining the confidentiality and security of your account credentials.
Housing providers are solely responsible for the properties, programs, services, eligibility criteria, prices, deposits, rules, availability, representations, and other information they publish through Open2Place. Providers represent that they have legal authority to advertise and offer any property or housing opportunity they list. Providers are responsible for determining and complying with all laws, regulations, permits, licenses, zoning requirements, occupancy requirements, certifications, insurance requirements, and other obligations applicable to their operations. Publication by Open2Place does not constitute verification, approval, certification, endorsement, or a legal determination regarding a provider or property.
Housing seekers are responsible for determining whether a property, provider, program, location, cost, house rules, services, and living arrangement meet their individual needs. Seekers should conduct appropriate due diligence before providing money or sensitive information, signing an agreement, or moving into a property.
Case managers, social workers, discharge planners, referral organizations, healthcare organizations, nonprofits, government agencies, and other referral users remain responsible for their own professional decisions and obligations. Information available through Open2Place should not be interpreted as a professional recommendation or guarantee that a particular housing provider is appropriate for an individual.
Users must comply with applicable federal, state, and local fair-housing and anti-discrimination laws. Open2Place prohibits discriminatory listings, communications, advertisements, eligibility requirements, or conduct that violates applicable law. Open2Place may remove content, restrict listings, suspend accounts, or take other appropriate action when potentially discriminatory activity is identified. Nothing in these Terms authorizes conduct prohibited by applicable fair-housing or civil-rights laws.
Users are responsible for information they submit to Open2Place. Users may not knowingly post false or misleading information, fraudulent housing opportunities, housing they lack authority to offer, deceptive pricing, illegal services, discriminatory content, stolen photographs, content violating intellectual property rights, or malicious content. Users grant Open2Place the rights reasonably necessary to display and distribute submitted content through the Platform and promote the corresponding listing or housing request.
Open2Place may offer verification features, badges, identity verification, document verification, or other trust and safety features. Unless expressly stated otherwise, verification does not constitute endorsement or a guarantee regarding a person, organization, property, program, or transaction. Users must continue to conduct their own due diligence.
Open2Place may provide or facilitate optional identity, income, background, eligibility, or other screening services directly or through third parties. Any screening feature will be subject to additional disclosures, consents, policies, and legal requirements where applicable. A provider remains responsible for making its own lawful housing decisions.
Unless Open2Place expressly identifies itself as the merchant or payment recipient for a particular service, payments between housing seekers and housing providers occur independently of Open2Place. Open2Place is not responsible for deposits, rent, refunds, damages, chargebacks, unpaid balances, or other financial disputes arising from transactions conducted directly between users. Provider subscription fees paid to Open2Place are governed by applicable subscription terms displayed when purchasing the subscription.
Users should attempt to resolve transaction or housing disputes directly with the other party. Open2Place may, at its discretion, provide communication assistance, accept reports, request information, investigate misuse of the Platform, or attempt to facilitate communication. Open2Place is not obligated to adjudicate disputes. Open2Place's decision to assist does not make it a party to the underlying transaction or create responsibility for resolving the dispute.
Users are responsible for exercising reasonable precautions when interacting with people they meet through Open2Place. Users should independently evaluate properties, providers, prospective residents, agreements, payment requests, and other circumstances before proceeding. For an immediate emergency, contact the appropriate emergency service rather than relying on Open2Place.
Information provided through Open2Place is for general informational and marketplace purposes. Open2Place does not provide legal, medical, clinical, financial, housing, real estate, social-work, or other professional advice.
The Platform is provided on an "as available" and "as is" basis to the extent permitted by applicable law. Open2Place does not guarantee uninterrupted availability, error-free operation, successful housing placement, property availability, provider performance, resident performance, or any particular outcome.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OPEN2PLACE AND ITS OWNERS, AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO USE OF THE PLATFORM OR DEALINGS BETWEEN USERS. OPEN2PLACE IS NOT RESPONSIBLE FOR THE ACTS OR OMISSIONS OF INDEPENDENT USERS, PROVIDERS, SEEKERS, PROPERTY OWNERS, REFERRAL SOURCES, OR OTHER THIRD PARTIES. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.
To the extent permitted by applicable law, you agree to indemnify and hold harmless Open2Place and its affiliates, officers, employees, contractors, and agents from third-party claims, liabilities, losses, damages, and reasonable costs arising from your unlawful use of the Platform, your content, your violation of these Terms, or your violation of another person's rights.
Users may not use Open2Place to commit fraud, misrepresent housing availability, impersonate another person or organization, engage in unlawful discrimination, harass or threaten others, facilitate illegal activity, circumvent Platform security, collect user information unlawfully, upload malware, manipulate reviews or verification systems, or violate applicable law.
Open2Place may investigate suspected violations and may restrict, suspend, remove content from, or terminate accounts when reasonably necessary to enforce these Terms, comply with law, address fraud or safety concerns, or protect the Platform or its users.
Use of Open2Place is also governed by the Open2Place Privacy Policy.
Open2Place may update these Terms. When changes are material, Open2Place may provide notice and require users to accept the updated Terms before continuing to use affected Platform functionality.
By affirmatively accepting these Terms electronically, you agree that your electronic acceptance constitutes your agreement to these Terms. Open2Place may maintain records showing the version accepted and the date and time of acceptance.
Finalize based on the legal entity operating Open2Place, its state of formation, principal place of business, states of operation, and preferred dispute-resolution structure. Attorney review is required for governing law, venue, arbitration (if desired), class-action waiver (if desired), informal dispute process, notice requirements, and state-specific consumer provisions.
Questions concerning these Terms may be submitted through the contact information provided on Open2Place's Legal or Contact page.
